The purpose of this course is to provide an in-depth discussion of selected advanced-level issues affecting LLCs and LLPs. The focus is to analyze the unresolved issues of these emerging business forms.

  • Debt issues and problems in structuring LLCs and LLPs, including loan guarantee issues, recourse and nonrecourse debt, and the at-risk basis rules

  • Death or retirement of a member or partner -- Understanding the alternatives
  • Step-up in basis issues -- How to make the computations and elections
  • Property transactions between the LLC/LLP and its members or partners -- Inbound and outbound transactions: what to do with built-in gain or loss property
  • Partnership losses: when are they deductible?
  • Continuation and termination in the context of a merger or acquisition
  • Sales of an LLC Interest - holding period, and hot asset issues

About the Speaker:
Ian J. Redpath, JD, LLM
Ian J. Redpath is a nationally recognized tax attorney and consultant from Buffalo, New York. He has offices in Buffalo and New York City. In addition to his active tax practice, he serves as Chairperson of the Department of Accounting Director of Graduate Accounting at Canisius College in Buffalo. He has published numerous articles on contemporary tax problems and topics and co-authored several books. He also has extensive national and international experience in developing, writing, and presenting professional CPE programs. Mr. Redpath holds a Bachelor’s degree from Hillsdale College, a JD from the University of Detroit, and an LLM (tax emphasis) from the University of Wisconsin.
